§ 1 Scope of Application
The following terms and conditions apply to your orders (of goods and gift vouchers from our company) in our online shop, in the version valid at the time of your purchase offer. Delivery is made exclusively to commercial customers.

Section 2 Conclusion of Contract

The presentation of products in the online shop does not constitute a binding offer, but merely a suggestion for your purchase offer; our information regarding goods and prices is subject to change and non-binding. By clicking the "Submit Order" button, you submit a binding purchase offer for the goods or vouchers contained in your shopping cart, which requires our acceptance. Confirmation of receipt of your offer, along with acceptance of your purchase offer, will be sent to you immediately after submission via automated email. The purchase contract is concluded upon receipt of this email confirmation.

Your order relates to the goods as they are presented or described on our website. While we exercise the utmost care, reasonable, particularly minor, and objectively justified deviations of the goods from their presentation on our website in terms of color, design, and decoration cannot be completely ruled out.

We will inform you immediately of any typographical, printing, or calculation errors on the website. In the case of obvious errors, we reserve the right to withdraw from the contract.

Do not share your login details with third parties to avoid misuse and potential liability.

The products and services offered are for resellers only. Sales to end customers (consumers) are not permitted.

Section 3 General Terms and Conditions for Gift Vouchers

Gift vouchers purchased from Kadro GmbH are valid within the statutory limitation period and will be refunded in the event of a return.

Section 4 Delivery, Delivery Times, Transfer of Risk

Delivery is made from our warehouse to the delivery address you specify. We reserve the right to choose the shipping method. We generally ship with DPD.

The delivery time is approximately 10 business days from receipt of your order, or, in the case of advance payment by bank transfer, from receipt of payment. If goods are unavailable, you will be notified immediately by email, and any payments already made will be refunded immediately.

Objectively justified and reasonable changes to our performance or delivery obligations, in particular reasonable extensions of delivery times or short-term payment deadlines on our part, are considered pre-approved.

If you are in default of acceptance, we are entitled to store the goods at our premises, for which we will charge a reasonable storage fee per commenced calendar day, and simultaneously insist on performance of the contract. Furthermore, in accordance with Section 373 of the Austrian Commercial Code (UGB), after prior notification, we are entitled to dispose of the goods elsewhere and, in particular, to claim damages for non-performance.

Section 5 Payment, Due Date, Default

You can pay the purchase price by transferring the invoice amount.

In the event of your default in acceptance or payment, the statutory provisions apply.

Section 6 Prices

All prices are quoted in euros and are exclusive of applicable VAT. Shipping costs are calculated separately and invoiced to you. We offer free shipping on orders over €300.00 net. You waive the application of Section 934 of the Austrian Civil Code (abduction by more than half).

Section 7 Set-off
You waive any right to set off claims.

Section 8 Retention of Title, Resale
The delivered goods remain our property until full payment of the purchase price and all associated costs and expenses. The assertion of our retention of title constitutes a withdrawal from the contract only if we expressly declare this. If you are in default of payment, even partially, we are entitled to collect the goods at your expense in a reasonable manner, even without your consent.

Section 9 Warranty for Defects, Liability

The warranty is provided in accordance with statutory provisions. We expressly refer to your obligation to report defects pursuant to Sections 377 et seq. of the Austrian Commercial Code (UGB).

We cannot provide a warranty for damage and defects resulting from improper use, negligent or faulty care or cleaning, excessive strain, improper storage or transport, or normal wear and tear.

Should the delivered items become defective during the statutory warranty period, please contact us by email before returning them.

Claims for damages in cases of slight negligence are excluded. This does not apply to personal injury, breach of essential contractual obligations, or damage to goods accepted for processing.

Section 10 Applicable Law, Jurisdiction, Contract Language

Austrian law applies. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

The court with subject-matter jurisdiction at the registered office of our company shall have local jurisdiction for all disputes arising from this business relationship. However, we also reserve the right to bring legal action at the general place of jurisdiction of the contractual partner. The contract language is German.

Section 11 Final Provisions
Should any provision of this contract, including these General Terms and Conditions, be or become wholly or partially invalid, or should a provision be missing, the remainder of the contract shall remain in full force and effect. The relevant statutory provisions shall apply in place of the invalid or missing provision.
